Q: Is it mandatory for a Taiwan company to appoint a local resident as a director?
A: No. It is not required. Foreign nationals may also serve as company directors.

Q: For a change of directors, is the consent or seal certificate of the former director required?
A: No. The change may be registered by submitting the shareholders’ consent together with the company seal and the seal of the newly appointed director.

Q: After the change of directors is completed with the government, will the bank automatically update its records?
A: No. After completing the change with the Ministry of Economic Affairs, the company must visit the bank in person to process the update.

Q: What supporting documents are required for appointing a foreign director?
A: A valid passport of the individual, together with information indicating the individual’s current residential address, must be provided.

Q: For the change of the chairman of the board, is shareholders’ consent sufficient, or is the consent of other directors also required?
A: if the company intends to appoint more than one director, in addition to the shareholders’ consent for appointing the directors, the directors themselves must also agree on the selection of the chairman.
