Question

Taiwan Company – Company Registration Documents

Answer
Q: What are the legal implications and document service arrangements after a company is dissolved?
A: The company’s registered address serves as the central location for legal relations. All legal documents and notices are served based on the registered address.

Q: Can a certificate of company registration be applied for in the name of the responsible person (director/representative)?
A: No. A certificate of company registration may only be applied for by the company. The application form must bear the company seal and the registered seal of the responsible person on record.

Q: How can a company apply for a certificate of company registration in English?
A: The application must be submitted in the name of the company. The application form should include the Chinese and English names of the company and its responsible person, the company’s unified business number, and bear the registered seals of both the company and the responsible person. If the company’s business items are registered in text-only format, an English translation of the business items must also be provided.

Q: If a company is dissatisfied with its unified business number after incorporation, can it apply to change the number? How can it be done?
A:
  1. A company may apply to change its unified business number; however, such a change is permitted only once.
  2. The application must be accompanied by an application form and two copies of the amendment registration form. No government filing fee is required.

Q: Can the required forms and application documents for company incorporation and amendment registration be downloaded online?
A: Yes. The required forms and application documents can be downloaded from the National Business Administration Service Portal (全國商工行政服務入口網).
