Question

Information Required Before Incorporating a Malaysian Company

Answer
Q: What information is required for the proposed company name?
A: We require one or more proposed company names in order of preference, together with a brief description of the intended business activities. The name must comply with the guidelines issued by the Companies Commission of Malaysia (SSM).

Q: What details are needed from shareholders and directors?
A: For each shareholder and director, we require:

  1. Identification document (NRIC or passport)
  2. Residential address
  3. Service address
  4. Email address and contact number
  5. Occupation (for directors)
  6. Percentage of shareholding (for shareholders)

Q: Is a local director required?
A: Yes. Pursuant to the Companies Act 2016, a private limited company (Sdn. Bhd.) is required to appoint at least one director who ordinarily resides in Malaysia.

Q: What is the minimum paid-up capital required?
A: The minimum paid-up capital is generally RM1. However, certain regulated industries (e.g., finance, education, recruitment, etc.) may require a higher paid-up capital depending on licensing requirements.

Q: What is required for the registered office address?
A: Every Malaysian company must have a registered office address in Malaysia. This address will be used for official correspondence from government authorities, including the Inland Revenue Board of Malaysia and SSM.

Q:
Is a business license required after incorporation?
A:
Incorporation with SSM does not automatically grant permission to operate. Depending on the nature of business activities and location, the company may be required to obtain relevant business licences or permits from the local authority or relevant regulatory bodies.
