Q: What is the annual filing requirement for a Limited Liability Partnership (“LLP”) in Malaysia?
A: It is a statutory requirement for a LLP to lodge its Annual Declaration with Companies Commission of Malaysia (CCM) within 90 days after its financial year ends, together with a prescribed fee.

For a newly registered LLP, the first Annual Declaration must be lodged no later than eighteen months from the date the LLP is registered.

Q: What does the Annual Declaration confirm?
A: The Annual Declaration affirms that the LLP is financially solvent and capable of meeting its debt obligations as they fall due during the ordinary course of business.

Q: Who is responsible for submitting the Annual Declaration?
A: The submission of the Annual Declaration must be carried out by the appointed compliance officer who acts as the active lodger for the LLP.

Q: What is the consequence if the LLP does not submit its Annual Declaration on time?
A: Failure to lodge the Annual Declaration within stipulated timeframe may result in a fine not exceeding RM20,000. If the non-compliance persist, the LLP is subject to a further fine up to RM500 for each day that the defaults continues.
