Any form of trade, commerce, craftsmanship, profession, calling or other activity carried on for the purpose of gain carried on by sole proprietorship required to obtain a Business Registration Certificate from the Hong Kong Inland Revenue Department. A sole proprietorship in Hong Kong is an unlimited liabilities company, if you would like to setup a company with limited liability, you may consider incorporating a Hong Kong private limited company.

  1. Hong Kong Sole Proprietorship Registration Package – Fees and Scope of Services

    Our fees for handling the registration of a Sole Proprietorship in Hong Kong are HKD6,900. In particular, our fee covers the following services:
    (1) Prepare the application form
    (2) Professional service fees and government fees for the incorporation and first year business registration
    (3) 1 year registered office address service
    (4) Submit the application form to the Business Registration Office
    (5) Collection of Business Registration Certificate (valid for one year) form the Business Registration Office

    Our fees quoted above include first year business registration fee but exclude delivery fees.

    The fees stated in the quotation are for preliminary reference only and do not constitute final transaction terms. All service fees shall be based on the actual quotation provided by our company for each individual case. We reserve the right to adjust pricing at any time without prior notice.

  2. Payment Terms and Methods

    Upon receipt of your order, we will issue an invoice to you for your settlement. We require full payment in advance. We currently only accept Hong Kong Dollar check, cash or TT and credit card through PayPal. Payment by PayPal will attract a 5% handling charge.

    If China or Taiwan official tax invoice is required, Value-added tax or business tax at the prevailing rate in the respective jurisdictions will be charged.

  3. Time Frame to Incorporate

    Generally, the incorporation process can be completed within 3 working days.

  4. Materials Required for Incorporation

    Client needs to provide the following documents and information to Kaizen by email or fax or post for purpose of incorporation:
    (1)
    Proposed company name, either in English only or Chinese only or both;
    (2)
    A description of the nature of business;
    (3)
    The commence date of business;
    (4)
    One photocopy of passport (or identity card for Hong Kong resident) and residential addresses proof (such as utility bill or telephone bill) in respect of owner;
    (5)
    KYC Questionnaire (provided by Kaizen)
    (6)
    Further supporting documents for non-Hong Kong residential owner (e.g. entry permit for allow to join business in Hong Kong, Tenancy agreement, bank account information, etc.)

  5. Registration Documents Returned to Client after Registration

    After the company is officially registered, Kaizen will return a scan copy of Business Registration Certificate though email for retention.

    Unless requested, Kaizen will keep the original Business Registration Certificate at our Hong Kong office.

  6. Annual Maintenance

    After a company is officially registered in Hong Kong, it is required to renew the Business Registration Certificate every year.
