Q:
When does the Phase 1 of the new inspection regime commence?
A:
Phase 1 has been commended on 23 August 2021 which is stipulated in the Companies Ordinance (Commencement) Notice 2021.

Q:
What contents were covered in Phase 1?
A:
In Phase 1, the company may choose to contain the correspondence addresses instead of usual residential addresses of directors on their own registers for public inspection.

Also, the company may choose to contain partial identification numbers instead of full numbers of directors and company secretaries on their own registers for public inspection.

Q:
Is Phase 1 require a company must withhold the usual residential addresses of directors, and full identification numbers of its registers?
A:
This is not a mandatory requirement. The Company can still contain the usual residential addresses of directors, and full identification numbers on its registers.

Q:
Can the registered office of company be the directors’ correspondence address?
A:
Yes. Under section 115A(6) of Schedule 11 to the Companies Ordinance (Cap. 622), the company’s registered office address can be regarded as the correspondence address of a director (including a reserve director) until whichever is the earlier of the following:
1、
the date of entering the director’s correspondence address in the register of director; or
2、
the first annual return date of the company on or after the commencement date of Phase 2.

Q:
What is partial identification numbers mean?
A:
If sequence of full identification numbers (including the number and alphanumeric characters) is even, the first half is partial identification numbers.

If sequence of full identification numbers (including the number and alphanumeric characters) is odd, the first half including the middle is partial identification numbers.
