Frequently questions regarding the Incorporation of a Limited Company in Macau

Q: What type of Companies can be incorporated in Macau and which is most common form of business vehicle used for foreign investors?
A: There are generally four types of companies which can be incorporated in Macau, including Limited Company, Holdings Limited Company, Unlimited Company and Mixed Company. Limited Company is the most common type of business vehicle used for foreign investors in Macau.

Q:
Is there any requirement on the minimum amount of registered capital of a Limited Company?
A:
The minimum amount of registered capital is MOP25,000.

Q:
Can a non-Macau resident incorporate a Limited Company?
A:
Yes. However, certain types of activities are subject to regulatory supervision that require a Macau resident to be a director.

Q:
What documents should we submit to Kaizen for incorporating a Limited Company?
A:
The shareholder and director of the Limited Company are required to submit their passport copies and recent address proofs (for example, utility bill, telephone bill or bank statement) and declare their marital status. If the shareholder or director is married, the name and address of his/her spouses is also required.
If the shareholder is a corporation, please provide the Certificate of Incorporation and Register of Members and Directors and the incorporation documents of this corporate shareholder.

Q:
Is it necessary for the shareholder(s) and director(s) to sign the incorporation documents in Macau in person?
A:
Normally, the shareholder(s) and director(s) are required to visit to the Macau Office in person for signing the incorporation documents and verify their signatures.
However, the shareholder(s) and director(s) can provide a notarized letter of authorization by the local notary if they are unable to come to Macau in person. Besides, the shareholder(s) and director(s) can deliver their original signed incorporation documents together with their original passports to the Macau Office for completing their signature verification.
If the shareholder is a corporation, their corporate capacity shall be notarized by the local notary public.

Q:
Why is the shareholder required to declare their marital status during the incorporation of a Limited Company?
A:
According to Commercial Code of Macau, if the shareholder is married, he/she is required to declare his/her property arrangement (common agreement/separation agreement) made with his/her spouse(s).  Also, the shareholder is required to declare his/her marital status when registering the company as the consent needs to be obtained by his/her spouse when selling the shares, but no relevant proof of marital status is required.

Q:
Is it necessary for a Macau resident to subscribe a certain proportion of shares of the Limited Company during the incorporation?
A:
It is not required that a certain proportion of shares of the Limited Company must be held by a Macau resident.

Q:
Can the Macau Post Box or residential address be used as a registered office address for a Limited Company?
A:
Macau Post Box is not accepted as a registered address. Only the commercial office address, shops or residential address are accepted for using as registered address for the company.

Q:
Is there any restriction on the name of the Limited Company?
A:
There are some restrictions on the name registration in Macau. The Company name will not be permitted if it is identical to an existing company or includes any wordings like Gambling or Finance fields.
A Company may be incorporated with either a Portuguese or Chinese name, or both. According to the Commercial Code of Macau, if a company wants to have an English name, it must be incorporated with the Chinese and Portuguese names.
If a company owned by the sole shareholder, its name shall end with “一人有限公司” in Chinese  and “Sociedade Unipessoal Lda” in Portuguese. If it consists of more than two shareholders, the name should end with “有限公司” in Chinese and “L.D.A” in Portuguese.

Q:
Is there any restriction on business activities for the Limited Company?
A:
There are no restrictions on the general business activities (e.g. trading or marketing). However, a few industries are required to apply the administrative licenses such as employment agency or training centers. Also, finance and gambling activities must obtain a prior approval for operation.
