Q:
What is the accounting requirement under new amendment on Seychelles International Companies (Amendment) Act, 2021?
A:
Seychelles companies are required to keep all the copies of accounting records and financial summary at registered address in Seychelles. The purpose of keeping accounting records is to comply with the global approach on enhancing transparency and exchange of information by international organizations.

What are accounting records?
A:
Accounting records” can be made on many forms, including:
  1. Bank statements;
  2. Receipts and Invoices;
  3. Vouchers;
  4. Title documents;
  5. Contracts and agreements;
  6. Ledgers; or
  7. Any other documentation underpinning a transaction.

Q:
When is the deadline for filing accounting records at registered office?
A:
Seychelles companies are required to provide bi-annual filing of its accounting records to Seychelles registered office. The first deadline is 6 February 2022, second deadline is 31 July 2022 and third deadline is 31 January 2023. Afterward, accounting records should be updated in January or July every year.

Q:
How long does a company needs to keep the accounting records and file for first filing?
A: Seychelles company is required to keep accounting records for the period for last seven years. The first filing is from 1 January 2015 to 31 December 2021 or from the date incorporation to 31 December 2021.

Q:
Do all Seychelles companies need to file annual financial summary?
A: Only large entity (i.e., with annual turnover above SCR50millon/ USD3.75million) and non-large non-holding entity are required to file annual financial summary.

Q:
When should we file the annual financial summary at registered office?
A:
Annual financial summary is simplified form of financial statement. It should be kept at registered office in Seychelles within six months from the end of the company’s financial year.
