Q: What is alternate director?
A: Alternate director means a person appointed by a director as an alternate and it is regarded as an agent of the director (“appointer”) he/she represents. An alternate director may exercise the powers and carry out the responsibilities of his/her appointer in the absence of his/her appointer.

What are the rights and responsibilities of an alternate director?
A:
An alternate director has the same rights as his/her appointer in relation to any decision taken by the directors. Unless these articles specify otherwise, an alternate director is deemed for all rights and responsibilities as a director.

Q:
Is it mandatory for director to appoint an alternate director?
A:
No, it is not compulsory to appoint an alternate director.

Q:
I am a director, can I appoint an alternate director to represent myself during my absence?
A:
You can appoint an alternate director only if the company's articles of association or by general meeting authorize appointing an alternate director to act on behalf of you.

Q:
What I need to do if I want to appoint an alternate director?
A:

Yes, the company is required to report the change of particulars of an alternate director to the Companies Registry.

Q:
Under what circumstance the appointment of alternate director will be terminated?
A:
Same as director, an alternate director may vacate his/her appointment in the circumstances of self-resignation, expiration of term, disqualification or deceased. Further, if the appointer terminates or revokes his alternate’s appointment by giving notice to the company or the appointer ceases to be a director of the company, the appointment of alternate director will also be terminated.
