Q:
What documents should we submit to Kaizen for the change of director?
A:
In genCertified true copy of passport of existing and new director(s);
  1. Certified true copy of recent residential address proof of existing and new director(s);
  2. The marital status of the new director(s);
  3. Copy of the latest Certificate of Registration issued by the Commercial Registry Office (“the Registry”) with constitution; and
  4. Copy of latest filed Form M/1 - New Registration/Amendment Form.

If the Macau Limited Company with a corporation(s) as shareholder(s), a board resolution for the change of director is required to be legalized in the place of incorporation of the corporate shareholder. Kaizen can assist in the preparation of the said resolution and provide service for arranging the resolution to be legalized in specified jurisdictions, please feel free to contact us for more information.

Q:
It is difficult for us to arrange the resolution to be legalized. Is there any way to fix it?
A:
Yes. There is an alternative, you can purchase a shareholders’ minutes book from the Registry for the recordation of member resolution regarding to change of director. Then, arrange the minutes book filing to the Registry for registration.

Q:
Is it necessary for the directors to visit Macau to sign the change of director documents in person?
A:
Normally, the director(s) are required to sign the relevant documents in Macau for signature verification purpose.
However, the director(s) can provide a notarized passport(s) if they are unable to visit Macau in person. Alternatively, they can deliver their original passports to Macau for completing the signature verification process.

Q:
How long does it takes for the change of directors?
A: After submitting the application to the Registry, it normally takes around 14 to 16 working days to complete.

Q:
Can we get back the original passport even though the change of directors has not been completed?
A: Normally, it takes 2 to 3 working days for the signature verification process. Then, the passport can be returned to you.

Q:
What can I obtain after the completion of change of director?
A:
After the completion of change of director, we will return the following documents to you:
  1. Updated Certificate of Registration;
  2. Filed Form M/1 - New Registration/Amendment Form; and
  3. Shareholders’ minutes book (if applicable).
